Terms of Service

These terms govern your use of Endless TMS. By creating an account or using the service, you agree to them. We have written these terms in plain English on purpose — if anything is unclear, email info@endlesstms.com.

The service

Endless TMS is a transportation management system for carriers, expediters, and brokers. It provides load dispatch, real-time GPS tracking, a driver portal, document management, invoicing, and optional integrations and white-label features. The service is provided as a subscription over the web.

Your account

• You must provide accurate information when creating an account and keep it up to date.
• You are responsible for safeguarding your login credentials and for all activity under your account.
• If you administer an organization, you are responsible for the users you invite and the permissions you grant them, including driver accounts and tracking sessions.
• Tell us promptly at the email above if you believe your account has been compromised.

Acceptable use

You agree not to:

• Use the service for anything unlawful, or to infringe anyone else's rights.
• Attempt to access data belonging to other organizations, probe or circumvent security controls, or interfere with the service's operation.
• Use driver location tracking on individuals without a lawful basis to do so. You are responsible for complying with employment and privacy laws that apply to tracking your drivers.
• Resell or sublicense the service except as expressly permitted (for example, through white-label features included in your plan).
• Upload malware or content you don't have the right to store and share.

Subscriptions and billing

• Plans are billed monthly in flat tiers based on fleet size. There are no setup fees and no long-term contracts.
• Every plan starts with a 14-day free trial with full Professional features — no credit card required to start.
• You can upgrade or downgrade at any time by contacting us (or from your account where available).
• You can cancel at any time by contacting us. After cancellation you keep access through the end of the period you have paid for, and you are not billed again.
• Optional add-ons are billed monthly alongside your plan.
• Except where required by law, fees already paid are non-refundable — the free trial exists so you can fully evaluate the service before paying.
• Current pricing is published on our pricing page. We will give you notice before any price change affects your subscription.

Your data

Your data belongs to you. The loads, customers, documents, invoices, and other operational data your organization enters remain yours. We use it only to provide the service, as described in our Privacy Policy. You can request a copy or deletion of your data at any time by emailing us.

Service availability

We work to keep Endless TMS available and reliable, but we do not guarantee uninterrupted service and these terms do not include an uptime service-level agreement. The service may be briefly unavailable for maintenance, and features that depend on third parties — such as GPS, mapping, or email delivery — can be affected by those providers. As the product evolves, we may add, change, or retire features; we will give notice where a change materially reduces functionality you rely on.

Disclaimers

The service is provided "as is" and "as available," without warranties of any kind, express or implied, including fitness for a particular purpose and non-infringement. Endless TMS is a tool that supports your operations; it does not replace your own judgment, dispatching decisions, or regulatory compliance obligations. GPS positions, calculated distances, and ETAs are estimates and may be inaccurate or delayed.

Limitation of liability

To the maximum extent permitted by law, Endless TMS will not be liable for indirect, incidental, special, or consequential damages — including lost profits, lost loads, or lost data — even if we have been advised of the possibility. Our total liability for any claim arising out of the service is limited to the amount you paid us in the twelve months before the claim arose.

Indemnification

You agree to defend and hold Endless TMS harmless from claims arising out of your use of the service in violation of these terms or the law — including claims related to the freight you move, the data and documents you upload, and your compliance with employment and privacy laws when tracking drivers.

Termination

You may stop using the service and cancel at any time. We may suspend or terminate your account if you materially violate these terms, if amounts you owe are not paid, or if we are required to by law — and where reasonable, we will notify you first. After termination you may request an export of your data for 30 days, after which we may delete it.

Changes to these terms

We may update these terms as the product evolves. When we do, we will update the date at the top of this page, and we will notify you of material changes through the app or by email. Continuing to use the service after changes take effect means you accept the updated terms.
